Upkeep provides a collection of services and resources, including and not limited to site maintenance, various website optimisation services, audits and informational content which may be accessed through our website and/or social media channels. Access to these services and/or content may require an active membership.
Your responsibility and conduct
If you provide any information that is untrue, inaccurate, not current or incomplete, or we have reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, Thinc has the right to suspend or terminate your account and refuse any and all current or future use of the Service (or any portion thereof).
Account and registration
In order to access some of the services on this site, you will be required to use an account and password that can be obtained by completing our online registration form, which requests certain information and data (“Registration Data”), and maintaining and updating your Registration Data as required. By registering, you agree that all information provided in the Registration Data is true and accurate and that you will maintain and update this information as required in order to keep it current, complete, and accurate.
Upon termination or suspension, regardless of the reasons, therefore, your right to use the services available on this site immediately ceases, and you acknowledge and agree that we may immediately deactivate or delete your account and all related information and files in your account and/or bar any further access to such files or this site. We shall not be liable to you or any third party for any claims or damages arising out of any termination or suspension or any other actions taken by us in connection with such termination or suspension.
Payment and renewal
By selecting a product or service, you agree to Thinc the one-time, monthly or annual subscription fees indicated (additional payment terms may be included in other communications). Subscription payments will be charged on a pre-pay basis on the day you sign up for an Upgrade and will cover the use of that service for a monthly or annual subscription period as indicated. Payments are not refundable. We do reserve the right to issue a refund on a case-by-case basis at our sole discretion.
Unless you notify Upkeep before the end of the applicable subscription period that you want to cancel a subscription, your subscription will automatically renew and you authorize us to collect the then-applicable annual or monthly subscription fee for such subscription (as well as any taxes) using any credit card or other payment mechanism we have on record for you. Subscriptions can be cancelled at any time on your account page or by contacting us.
After cancelling your subscription you will have access to services until the end of the current payment period as defined in the applicable subscription. After that date, our services and access to the tools we may use to provide these services which may include tools we installed and activated on your website will be stopped. In no way do you own any of the tools and materials we may provide while using our services.
In no event shall Upkeep, its parent Company (Thinc) or its suppliers be liable for any damages (including, without limitation, damages for loss of data or profit, or due to business interruption,) arising out of the use or inability to use the materials on our website, even if we or an authorised representative has been notified of the possibility of such damage.
Upkeeps’ liability, and the liability of Upkeeps’ suppliers and affiliates, to you or any third parties in any circumstance, shall not exceed the total sum of € 5,00. The limitations of liability set forth above are fundamental elements of the contract between Upkeep and you. Neither, if you have chosen requested support staff to make changes to your website, it’s your full responsibility when you choose this option.
Because some jurisdictions do not allow limitations on implied warranties, or limitations of liability for consequential or incidental damages, these limitations may not apply to you.
Revisions and updates
All the materials and information appearing on Upkeeps’ website could include technical, typographical, or photographic errors. We do not warrant that any of the materials on the website are accurate, complete or current. We may make changes and updates to the materials contained on the website at any time without notice.
